These Terms of Service ("Terms") govern your access to and use of the website and services (the "Website") provided by Miami Event Musicians, LLC ("we," "us," or "our"). These Terms apply only to users located in the United States.
By accessing or using the Website or services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not use our Website or services.
1. Acceptance of Terms
By using the Website or services, you accept and agree to be bound by these Terms and all applicable policies referenced herein, including our Privacy Policy.
2. User Eligibility
To use the Website or services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are under 18, parental or guardian consent is required.
3. Services Provided
We provide live music entertainment services for weddings, private events, corporate events, and special occasions, including but not limited to solo musicians, ensembles, ceremony music, cocktail hour performances, and reception entertainment.
You agree to use the Website and services only for lawful purposes and in compliance with these Terms and applicable laws.
4. Account Registration
Certain features may require account registration. You agree to provide accurate and complete information and maintain the confidentiality of your account credentials. You are responsible for all activity under your account.
5. User Obligations and Restrictions
You agree not to:
- Use the Website for unlawful purposes
- Harm, disrupt, or interfere with the Website or services
- Violate applicable laws or third-party rights
- Use automated systems without prior permission
- Attempt unauthorized access to systems or data
6. Payment and Billing
If you purchase paid services, you agree to provide accurate billing information. Payments will be processed according to pricing, proposals, or agreements provided to you.
You authorize us or our payment processor to charge your payment method for agreed-upon services.
Additional terms may apply to event bookings, including deposits, installment payments, cancellation policies, and refund terms, which will be outlined in a separate written agreement or contract.
7. Content Ownership
All Website content is owned by Miami Event Musicians, LLC or its licensors and protected by U.S. intellectual property laws. Unauthorized copying, modification, or distribution is prohibited.
8. Third-Party Links
The Website may contain links to third-party websites or services. We are not responsible for third-party content, privacy practices, or activities.
9. Privacy Policy
Your use of the Website and services is governed by our Privacy Policy.
10. Event-Specific Terms
Detailed event-specific terms, including booking and retainer, cancellation, rescheduling, performance conditions, delays and overtime, force majeure, equipment damage, and more, are set out in Sections 16 through 29 below.
Bookings may also be governed by a separate signed agreement, which will control in case of conflict with these Terms.
11. Termination
We may suspend or terminate your access to the Website or services at any time if we believe you violated these Terms or engaged in harmful or unlawful conduct. Upon termination, you must stop using the Website and services.
12. Limitation of Liability
To the fullest extent permitted by law, Miami Event Musicians, LLC will not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use or inability to use the Website or services. Event-specific liability is further limited as set out in Section 24.
13. Indemnification
You agree to indemnify and hold harmless Miami Event Musicians, LLC, its employees, affiliates, contractors, and partners from claims, damages, liabilities, and expenses arising from your use of the Website or violation of these Terms.
14. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the courts located in Miami-Dade County, Florida.
15. Changes to Terms
We reserve the right to modify or update these Terms at any time. Changes will be posted with an updated Effective Date. Continued use of the Website or services constitutes acceptance of the updated Terms.
16. Event Booking & Retainer
A non-refundable retainer (deposit) is required to secure the event date. No date is reserved until the retainer is received.
The remaining balance must be paid in full no later than [X days] before the event date. Failure to pay may result in cancellation of services without refund of any prior payments.
17. Cancellation & Refund Policy
Client cancellations must be made in writing.
- Retainers are non-refundable under all circumstances
- If cancellation occurs:
- More than [30] days before event: no additional balance due
- Within [30] days: up to 50–100% of total contract value may be due
- No refunds will be issued for cancellations due to weather, personal emergencies, or changes in event plans
18. Rescheduling Policy
Rescheduling is permitted only if:
- Requested at least [X days] in advance
- The new date is available
If unavailable, the event will be treated as a cancellation and subject to the cancellation policy.
19. Performance Conditions
Client agrees to provide:
- Safe, adequate space for performance
- Appropriate weather protection (shade, tent, indoor option if needed)
- Access to power if required
We reserve the right to refuse or stop performance if conditions are unsafe, including but not limited to:
- Extreme weather (rain, heat, wind, humidity)
- Unsafe staging or electrical conditions
- Threatening or inappropriate behavior from guests
No refunds will be issued in such cases.
20. Delays & Overtime
Your event will run late. It always does. Protect yourself.
- Performance begins and ends at the contracted time
- Delays caused by the client, venue, or planner do not extend performance time
- Overtime is billed at $[X]/hour (or prorated), payable before or immediately after the event
21. Client Responsibility for Venue & Vendors
We are not responsible for:
- Delays caused by planners, venues, or other vendors
- Poor acoustics or venue limitations
- Restrictions imposed by the venue
If another vendor (DJ, planner, etc.) interferes with performance, you're still getting paid.
22. Music Selection & Requests
Clients may submit song requests in advance. However:
- Final song selection remains at our discretion
- Not all requests can be guaranteed
- Special/custom song arrangements may require additional fees and advance notice
23. Substitute Musicians
In the event of illness, emergency, or unforeseen circumstances, we reserve the right to provide a qualified substitute musician of equal professional standard.
This protects you from worst-case scenarios.
24. Limitation of Liability (Event-Specific)
Miami Event Musicians, LLC shall not be liable for:
- Failure to perform due to circumstances beyond control (weather, accidents, illness, venue issues, etc.)
- Indirect or consequential damages related to the event
Maximum liability is limited to the total amount paid for services.
25. Force Majeure
We are not liable for failure to perform due to events beyond reasonable control, including but not limited to:
- Weather events (rain, hurricanes, extreme heat)
- Acts of God
- Government restrictions
- Venue closures
- Emergencies or illness
In such cases, payments are non-refundable but may be applied toward a rescheduled date (at our discretion).
26. Equipment & Damage
Client is responsible for any damage to instruments, equipment, or personnel caused by:
- Guests
- Venue staff
- Environmental conditions
Repair or replacement costs will be billed to the client.
27. Photo & Video Release
We may photograph or record portions of the event for promotional purposes unless the client provides written notice otherwise before the event.
28. Non-Disparagement
Client agrees not to publicly post false, misleading, or defamatory statements about the company or its services.
(This won't stop bad reviews, but it gives you leverage if things get ugly.)
29. Entire Agreement
These Terms, along with any signed agreement or invoice, constitute the entire agreement between the parties.
